Terms of Service
Effective Date: January 2024
Scope of Cooperation
These Terms of Service ("Terms") govern the business relationship between WigDance ("Manufacturer", "We", "Us") and our clients ("Client", "You") for the production and supply of high-end human hair wigs and toppers.
Applicable Services
- OEM Manufacturing: Production based on Client's specifications and designs
- ODM Services: Customized product development with our design recommendations
- Sample Development: Prototype creation for approval before bulk production
- Bulk Production: Large-scale manufacturing with consistent quality standards
Client Categories
Our services are designed for:
- High-end DTC wig brands
- Medical hair loss institutions
- Premium salons and boutique wig stores
- E-commerce sellers and independent online brands
Order Rules
Payment Terms
- Small Orders: 100% payment required before production commences
- Standard Orders: 50% deposit before production, 50% balance before shipment
- Large Volume Orders: Payment terms negotiable based on order value and client history
Note: All payments must be received and cleared before the respective production or shipment milestone. Wire transfer details will be provided in the proforma invoice.
Production Lead Time
- Sample Production: 15-25 business days after design confirmation
- Bulk Production: 30-60 business days depending on order quantity and complexity
- Rush Orders: Available upon request with additional fees (subject to factory capacity)
Order Modifications
Changes to confirmed orders may be accepted if:
- Requested before production has commenced
- Modifications do not significantly alter production timeline
- Additional costs (if any) are agreed upon in writing
Customization Terms
Sample Development Fee
- Standard Sample: Sample fee charged per unit (deductible from bulk order)
- Complex Customization: Higher sample fee for intricate designs or special materials
- Refund Policy: Sample fees are refundable against bulk orders exceeding minimum quantity (MOQ to be confirmed per product category)
Customization Options
We offer full customization including:
- Cap construction (full lace, lace front, silk top, monofilament)
- Hair type and texture (fine hair, medium hair, curly, straight, wavy)
- Hair color and length
- Cap size and measurements
- Private labeling and packaging
Design Approval
Client must provide written approval of samples before bulk production. Once approved, the sample serves as the quality standard for the entire order.
Quality Assurance & After-Sales
Quality Inspection
- In-Process Inspection: Quality checks at every production stage (base, knotting, hair quality, density)
- Final Inspection: 100% inspection before packaging
- Client Inspection: Clients may arrange third-party inspection before shipment (at Client's expense)
Quality Standards
All products must meet the following criteria:
- Hair shedding rate below industry standard (less than 10 strands per gentle comb-through)
- Natural hairline and scalp appearance
- Secure knotting with minimal shedding
- Accurate color matching to approved sample
- Consistent hair density throughout
Warranty & Returns
- Warranty Period: 30 days from delivery date for manufacturing defects
- Defect Coverage: Excessive shedding, cap construction defects, color discrepancies from approved sample
- Exclusions: Damage from improper use, chemical treatments beyond recommended guidelines, or normal wear and tear
- Return Process: Defective items must be reported within 7 days of receipt with photographic evidence. Approved returns will be repaired, replaced, or refunded at our discretion.
After-Sales Support
We provide ongoing support including:
- Technical guidance on product care and maintenance
- Replacement parts for repairable defects
- Priority production for reorders from existing clients
Liability & Dispute Resolution
Limitation of Liability
- Our liability is limited to the value of the defective products
- We are not liable for indirect, incidental, or consequential damages
- Force majeure events (natural disasters, pandemics, government restrictions) excuse performance delays without liability
Breach of Contract
By Client:
- Failure to pay: We reserve the right to halt production and retain deposit
- Order cancellation after production start: Client responsible for costs incurred plus 30% cancellation fee
By Manufacturer:
- Delivery delay beyond agreed timeline: Client may request partial refund or production credit
- Failure to meet quality standards: Full replacement or refund of affected items
Dispute Resolution
- Negotiation: Parties agree to first attempt resolution through good-faith negotiation
- Mediation: If negotiation fails, disputes will be submitted to mediation by a mutually agreed mediator
- Arbitration: Unresolved disputes will be settled through binding arbitration under international commercial arbitration rules
- Governing Law: These Terms are governed by the laws of [Jurisdiction to be specified]
Confidentiality
Both parties agree to keep confidential all proprietary information, including designs, pricing, and client lists, during and after the business relationship.
